What is CrowdFunding?

CrowdFunding (crowd financing, equity crowdfunding, or hyper funding) describes the collective cooperation, attention and trust by people who network and pool their money and other resources together, usually via the internet, to support efforts initiated by other people or organizations. CrowdFunding occurs for any variety of purposes, from disaster relief to citizen journalism to artists seeking support from fans, to political campaigns, to funding a startup company, or expanding an existing small business.

Basically, CrowdFunding refers to the funding of a company by selling small amounts of equity to many investors, as enacted by the United States of America JOBS Act, which allows for a wider pool of smaller investors with fewer restrictions. 

Since the companies are either start-ups or small in nature, there is a much larger risk of loosing your capital investment.

Pros and cons

Proponents of the crowdfunding approach argue that it allows good ideas which do not fit the pattern required by conventional financiers to break through and attract cash through the wisdom of the crowd. If it does achieve "traction" in this way, not only can the enterprise secure seed funding to begin its project, but it may also secure evidence of backing from potential customers and benefit from word of mouth promotion.

A disadvantage is the requirement to disclose the idea for which funding is sought in public when it is at a very early stage. This exposes the promoter of the idea to the risk of the idea being copied and developed ahead of them by better-financed competitors. In addition, there is substantial research in social psychology that demonstrates that the crowd is not always wise.

What are Private Placements?

Private Placement means the sale of securities to a relatively small number of select investors as a way of raising capital. Investors involved in private placements are usually large banks, mutual funds, insurance companies and pension funds. Private placement is the opposite of a public issue, where securities are made available for sale on the open market.

Since a private placement is offered to a few, select individuals, the placement does not have to be registered with the Securities and Exchange Commission. In many cases, detailed financial information is not disclosed and a the need for a prospectus is waived. Finally, since the placements are private rather than public, the average investor is only made aware of the placement after it has occurred. What is the Gray Market?

There are no market makers in this security. It is not listed, traded or quoted on any U.S. stock exchange or the OTC Markets. Trades in gray market stocks are reported by broker-dealers to their Self-Regulatory Organization (SRO) and the SRO distributes the trade data to market data vendors and financial websites so investors can track price and volume. Since gray market securities are not traded or quoted on an exchange or inter-dealer quotation system, investors' bids and offers are not collected in a central spot so market transparency is diminished execution of orders ...UNTIL NOW! 

TASBEX will list any securities that are self-described as a "Gray Market" securities. If the company is incorporated, has shareholders and is current with all the listing requirements of TASBEX, individuals will have a place to view information on the issuer to make a clear decision on the investment.
